1. The Service

Primel Catalog Manager is a catalog operations app for Shopify merchants.

The app is designed to help merchants review product catalog issues, identify SKU-related gaps, and apply controlled product or variant updates after merchant review.

Primel Catalog Manager is not a replacement for merchant judgment, Shopify administration, or professional operational advice.

2. Merchant Responsibility

You are responsible for your Shopify store, product catalog, product data, business operations, and any changes you choose to apply through the app.

Before applying any suggested update, you should review the relevant product and variant information carefully.

You are responsible for ensuring that your product data, SKU structure, store operations, and use of the app comply with applicable laws, Shopify policies, and your own business requirements.

3. Review-Before-Apply Workflow

Primel Catalog Manager is designed to support controlled catalog workflows.

The app may identify missing or incomplete catalog information and may help prepare suggested updates. However, you remain responsible for reviewing and approving any changes before they are applied to your Shopify store.

We are not responsible for losses caused by incorrect product data, incorrect merchant review, incorrect configuration, or updates you choose to apply.

4. Acceptable Use

You agree not to use Primel Catalog Manager to:

• Violate any law, regulation, or Shopify policy
• Interfere with or disrupt the app, infrastructure, or other merchants
• Attempt to access data or systems you are not authorized to access
• Reverse engineer, copy, or misuse the app
• Use the app for fraudulent, harmful, or abusive activity
• Upload or process content that infringes third-party rights

We may suspend or terminate access if we believe your use of the app violates these Terms or creates risk for Primel, Shopify, other merchants, or the app infrastructure.

5. Shopify Platform

Primel Catalog Manager operates with Shopify and depends on Shopify APIs, permissions, platform behavior, and availability.

We are not responsible for Shopify platform changes, API limitations, outages, permission changes, or other Shopify-controlled behavior that may affect the app.

Your use of Shopify remains governed by Shopify’s own terms and policies.

6. App Availability

We aim to provide a reliable service, but we do not guarantee that Primel Catalog Manager will be uninterrupted, error-free, or available at all times.

The app may be unavailable due to maintenance, infrastructure issues, Shopify API issues, third-party service issues, security events, or other reasons.

We may modify, suspend, or discontinue parts of the app at any time.

7. No Guaranteed Results

Primel Catalog Manager is intended to help merchants improve catalog review workflows, but we do not guarantee specific business results, revenue increases, operational outcomes, or complete detection of every catalog issue.

8. Fees and Billing

If Primel Catalog Manager offers paid plans in the future, billing terms will be presented through Shopify or another approved billing flow before you are charged.

If no paid plan is active, this section does not create any payment obligation.

9. Intellectual Property

Primel Catalog Manager, including its software, design, branding, documentation, and related materials, is owned by Primel or its licensors.

You may use the app only as permitted by these Terms.

You retain ownership of your store data and product catalog data.

10. Feedback

If you provide feedback, suggestions, or ideas about Primel Catalog Manager, you allow us to use that feedback without restriction or compensation to improve the app, develop features, or update our services.

11. Privacy

Our collection and use of information is described in our Privacy Policy.

By using Primel Catalog Manager, you also agree to our Privacy Policy.

12. Disclaimer

Primel Catalog Manager is provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, availability, accuracy, and reliability.

13. Limitation of Liability

To the fullest extent permitted by law, Primel will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill.

To the fullest extent permitted by law, Primel’s total liability for any claim related to the app will not exceed the amount you paid to Primel for the app in the three months before the event giving rise to the claim, or USD $100 if no amount was paid.

Some jurisdictions do not allow certain limitations of liability, so some limitations may not apply to you.

14. Termination

You may stop using Primel Catalog Manager at any time by uninstalling the app from your Shopify store.

We may suspend or terminate your access to the app if you violate these Terms, create security or operational risk, or use the app in a harmful or unlawful way.

After termination or uninstall, some information may be retained as described in our Privacy Policy.

15. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the “Last updated” date above.

Continued use of Primel Catalog Manager after changes become effective means you accept the updated Terms.
